CITY OF ELGIN, OREGON 

                     RESOLUTION  1042 (1997)
    A RESOLUTION SELECTING PROVIDER OF UNDERWRITING SERVICES
                        AND BOND COUNCIL

WHEREAS:  Farm Home Administration [USDA Rural Development] is requiring the
City to refinance its general obligation debt and revenue bond for the sewer
system, and;

WHEREAS: Seattle-Northwest Securities Corporation of Portland Oregon has
provided a suitable proposal to refinance these debt obligations, and;

WHEREAS: To accomplish the refinancing the City must retain bond council, and;

WHEREAS: John Osburn of Ball Janik Attorneys is available and is familiar with
the City's bond debt situation, having acted as bond council on the original bond
issues:


NOW THEREFORE BE IT RESOLVED:
That the City of Elgin proceed to retain the underwriting services of Seattle
Northwest Securities for refinancing its sewer system debt, and that the City
retain the services of John Osburn of Ball Janik Attorneys as bond council in
this matter.
